Regulated liberal professions: all the keys to {tilde over (X)} and manage your activity

Verified 19 October 2026 - Entreprendre Service Public / (Prime Minister)

Beyond the exercise of their profession, the liberal and regulated professions are required to take charge of many issues: administrative, accounting and financial management, treasury, development of the activity or transfer of the company. Many resources are available to help you manage your daily activity and develop your company.

Step-by-step approach

What questions to ask before {circumflex over}?

in a regulated liberal profession involves simultaneously processing the professional project and the company project. Beyond mastering the profession, it is necessary to check the conditions of access and exercise, choose a place and a mode of exercise, size the investments, predict the first charges and identify the interlocutors who will be able to accompany the launch.

Check if the activity is regulated

If the proposed activity is regulated, all the conditions of access specific to the profession must be checked with the order, competent authority or credit union concerned.

They are varied and depend on the profession. These may include:

  • Diploma requirements
  • Conditions of professional experience
  • Pre-training conditions
  • Minimum age requirements
  • Conditions of good repute (e.g. not having been convicted by a French or foreign court)
  • Financial conditions (for example, having a minimum amount of capital)

There is no exhaustive list of regulated activities. However, to check if the proposed activity is regulated, you can consult the directory next:

Carrying out a market study

It is essential to analyze supply, demand, environment and territory before launching the activity.

in liberal terms, it is essential to know your territory well before committing to it: the customer or customer area, the rates and the local conditions of competition.

For example, the CastoSanté atlas allows general practitioners, nurses, massage physiotherapists, dental surgeons and midwives

Building your business plan

The drafting of a business plan is an essential step.

It is a structured document that formalizes the project, detailing its strategy (financing strategy, tax strategy or communication strategy), its financial forecasts and its economic model.

The development of a business plan is essential to convince banks and investors. It reassures the various stakeholders about the viability of the business.

Choose the place of exercise or not

The installation requirements can be very different from one profession to another.

A professional who travels mainly to his patients will not have the same investments or the same expenses as a professional who receives his clients in a practice:

Exercise at home of patients

A nurse wishes to leave his salaried position to practice as a liberal, performing most of his care at the home of his patients. His project therefore does not necessarily require, at the beginning, to invest in a practice intended to receive daily patients. On the other hand, other issues become decisive.

He must first determine the territory in which it wishes to operate. This choice will have a direct impact on its activity: it must take into account the needs of the population, the presence of other health professionals, but also the rules applicable to the installation and the agreement of private nurses in the area envisaged.

Its daily organization must also be thought of according to the movement between patients. Where a professional practicing in a practice will mainly ask about the amount of his rent and the layout of his premises, the nurse will have to assess, for example, the number of kilometers he will travel each day, the time spent on trips, his vehicle costs and the way he will organize his tour.

Exercise in a professional premises

The question of premises also arises differently depending on the profession.

The profession of lawyer does not require medical equipment or a professional vehicle to make daily rounds, unlike the nurse for example. On the other hand, the lawyer must have a professional home meeting the requirements of his profession and organize the conditions under which he can work and receive his clients while guaranteeing in particular the confidentiality of exchanges.

It is possible to consider and compare several solutions:

  • Immediately renting an individual practice gives it its own work and reception space, but creates a significant fixed load from the first month.
  • Conversely, sharing premises and certain resources with other professionals can help to limit initial expenses.

The choice of premises it therefore becomes a component of its economic model and must be consistent with the expected volume of activity.

Which local support to turn to?

Creating a company requires rigorous preparation. Different professionals in support of company creation may provide support at each stage of the project, as appropriate:

There is no competent consular chamber in case ofliberal activity. Depending on the profession, the contacts are different:

  • the professional orders for regulated professions (doctors, lawyers, architects, accountants, nurses, etc.)
  • the trade unions or professional unions, such asUNAPL: titleContent :

Support networks can provide a support at every stage of a company creation project. The main support networks are:

The choice of legal form has consequences for the ownership of capital, governance, taxation, social protection, responsibility and conditions of an association. The right question is therefore less « which status is the most advantageous? » than « which framework allows me to practice in accordance with the rules of my profession, to finance my activity and to secure my decisions? », taking into account my actual project.

Verify the conditions of access to the profession when the activity is regulated

Some liberal professions are regulated. This means that the exercise is subject to certain rules:

  • The use of title is protected. You must have a professional qualification to practice (diploma, professional experience, etc.). For example, a person who practices the profession of psychologist without the required qualifications commits usurpation of title. It is an offense punishable by imprisonment and a fine.
  • The profession is subject to ethical principles or professional ethics. For example, lawyers or architects must follow a number of rules that are set out in a code of ethics.
  • The profession is controlled controlled by a professional body : professional order, professional chamber, trade union. For example, the Council of the Order of Architects ensures compliance with the code of ethics and may impose disciplinary sanctions (e.g. warning, reprimand, suspension or removal from the register of the Order).

Identify the structures of practice really open to the profession

The choice of the legal form (or legal status) of a company is a decisive step.

It determines the company’s operating rules, but it also has implications for the tax system and social protection.

There are two main legal forms:

  • Individual business (EI) : allows you to carry out your activity alone and in your own name. The Head of company and the individual business shall form a one and the same person. Micro-company (or self-company) is an individual business with a simplified tax and social system.
  • Business : allows you to work in a legal entity distinct from the head of company. It has the legal personality, i.e. it has its own legal existence (share capital, company name, registered office, etc.).

The legal form chosen has consequences for the protection of the personal assets of the entrepreneur and his liability.

  • By choosing the individual business : the contractor has a professional heritage automatically separated from his personal assets. In the event of fraud and serious breaches, the tax authorities and social security bodies may demand payment of their debts on professional assets and staff.
  • By choosing a business of Liberal Practice (SEL) :
    • Responsibility limited partners who are not active in the business. Their responsibility is limited the amount of contributions to the capital of the business.
    • Responsibility solidarity and indefinite associates of SEL who are engaged in a professional activity. Their responsibility covers their entire heritage.
  • By choosing a Professional Civil business (PCS) : the partner is responsible jointly and indefinitely debts of the business on all its assets. This means that a creditor may, in the event of default of the business, claim against one of the partners and demand payment of the entire debt. Each partner is personally responsible for all the professional acts he performs and the business is jointly and severally liable with him. Only liberal professions authorized by decree may use the form of SCP (architect, chartered accountant, veterinarianetc).

In practice: comparing legal forms of practice

To make the right choice, it is therefore essential to take into account many factors:

  • the exercise of the activity alone or together with partners (in business )
  • the tax system for the taxation of profits
  • the social protection scheme in accordance with the envisaged legal form.

To help you choose the legal form that best suits your situation, the Urssaf offers the following simulator:

Finding the right legal status (form) for your company project

The same legal form can produce very different effects depending on the profession, the level of investment and the way of working. The following situations illustrate the arbitrations to be conducted before filing the articles or signing a financing agreement.

Répondez aux questions successives et les réponses s’afficheront automatiquement

Veterinarian: resumption of a clinic with an associate

A veterinarian plans to take over an existing clinic with a colleague. The project includes a right of presentation of customers, a technical platform, two employees, stocks of medicines and a service vehicle. The choice between an individual business (EI) and an exercise business - for example, an SCP: titleContent or a SALT: titleContent, subject to the rules applicable to the profession - will change the way in which partners own shares, make decisions and distribute results.

Before choosing, future partners must quantify investments and recurring expenses, but also write the rules of operation: who brings what, who can engage the structure, how decisions are made, how a partner can enter or leave, and what happens in case of disagreement or incapacity?

The statute must also remain compatible with professional independence and the rules of the Order. Registration or authorization by the competent body shall take place, as appropriate, before registration. The statutes, the partnership agreement, the employment contracts, the delegations and the insurance must therefore be read together, and not separately.

Security does not stop on the day of creation: it is necessary to provide for appropriate accounting, monitoring of stocks and receipts, continuity of care, professional civil liability and the conditions of a possible transmission of the clinic.

Architect: transformation of an individual activity into a business

An architect practices alone, responds to private and public contracts and wishes to recruit a collaborator. Its fees are irregular, while software, subcontractors and insurance represent fixed costs. She hesitates between staying in individual business and constituting an architectural business or another structure authorized by her profession.

Business can facilitate the association and pooling of resources, but it adds governance, capital and accounting rules. The impact on remuneration, cash availability, income taxation, social protection and mission liability should be compared. The status chosen must also remain consistent with the professional requirements and contracts already signed.

Before any transformation, the architect establishes a 12-month cash flow scenario, verifies the necessary assurances — especially when the missions fall under specific responsibilities — and organizes the takeover of contracts, archives and customer data. An exchange with the Order and a cipher professional makes it possible to distinguish what is the law of the profession from what is a management choice.

Chartered accountant: creation of a firm

A chartered accountant with the required degree wants to create his firm and quickly associate with a colleague. It plans to hire, lease office space and invest in production and cybersecurity software. Its activity is regulated: access to the profession, registration with the Order, independence and rules of ownership of capital are not simple management options.

The project must therefore compare the approved structures - individual business, exercise business or business of shareholdings depending on the structure - with the objectives pursued: to welcome a partner, finance growth, safeguard the continuity of the firm or prepare a transfer. The constituent documents must describe precisely the powers, voting rights, remuneration for work and exit conditions.

Finally, the professional must integrate the costs that actually secure the exercise: professional liability insurance, archiving, confidentiality, backups, control procedures and monitoring of ordinary deadlines. In this profession as in others, the statute is only relevant if it is compatible with the economic project and ethical rules.

These three examples show that there is no universal status. The choice must be documented from the regulation of the profession, a forecast budget, a fiscal and social simulation, the needs of association and an exit plan. A cipher or legal professional can accompany the analysis, but the decision remains that of the professional, who must retain control of his independence and his commitments.

Financing a facility is not just about getting a loan. A distinction must be made between initial investments, the need for cash in the first few months, the professional's remuneration and the expenses that secure the activity. A robust funding plan links each expenditure to a resource and predicts what happens if activity starts slower than expected.

Quantify the need and build a financing plan

The following steps should be followed:

  • List needs to be funded: works, premises, equipment, software, vehicles, stocks, deeds, insurance, recruitment, communication and start-up cash.
  • Distinguish between investments and working capital requirements: the duration and type of funding must be commensurate with the nature of the expenditure.
  • Build 3 scenarios: central, prudent and downgraded; indicate the level of revenue, expenses, remuneration and the point at which cash flow becomes insufficient.
  • Document input and resources that can be mobilized: savings, contributions from partners, current account, loan of honor, aid, ARCE or other resources, without considering aid as certain before agreement.
  • Compare loan offers on their overall cost: rate, term, deferred, fees, guarantees, borrower insurance, unblocking conditions and early repayment.
  • Secure a trade-in or association: valuation, stock, debts, contracts, asset and liability guarantee, distribution of contributions and exit of a partner.
  • Check territorial and professional arrangements: regional aid, zoning, support networks, health financing or Order schemes.
  • Plan for follow-up after installation: cash flow, maturities, unpaid, payroll taxes, equipment renewal and security reserve.

A funding plan must be dated and reviewable. Aid or loans must not be presented as acquired before official notification. The trader must compare the total cost, the guarantees requested, the payment schedule and the effect of each solution on its cash flow, social protection and ability to invest afterwards.

The financing plan must be adapted to each situation:

Dentist: creation of a practice with an evolutionary technical platform

A dentist wishes to open a two-room practice in a peri-urban commune. The project includes accessibility works, an armchair, imaging, business software, furniture, consumables and a patient load-up period. The financial need is therefore not limited to the price of the equipment: it also includes the costs of incorporation, pre-opening rents, insurance, the launch communication and the cash required to pay the first charges.

The professional must build a financing plan by separating sustainable jobs — works, equipment, right to lease or security deposit — and working capital requirements — stocks, collection periods, expenses and starting remuneration. This distinction makes it possible to choose a consistent loan term and to avoid financing current expenditure with a too short resource.

Before consulting the banks, he tests several hypotheses: gradual opening, purchase or lease of certain equipment, delayed recruitment, prudent level of revenue and security reserve. It also checks territorial aid and borrower insurance conditions. The aim is not to maximize indebtedness, but to maintain flexibility when paying agencies' appointments or repayments fall behind schedule.

Pharmacist: takeover of a pharmacy and financing of the stock

A pharmacist is considering taking over a pharmacy. Assignment price, inventory, upgrading works, registration fees and cash flow need to be considered together. A recovery may seem profitable in terms of past sales, but it becomes fragile if the stock is overvalued, if staff costs increase or if repayment conditions do not keep pace with the actual pace of cash receipts.

The financing file must document the value of the activity, the quality of the clientele, the contracts, the debts and the future investments. The buyer can compare a bank loan, an honor loan, a current account contribution, a seller's loan or a combination of these solutions. Each option must be linked to a specific risk: disposal price, inventory, works, working capital or phase-in.

It also negotiates guarantees, borrower insurance and the conditions for releasing funds. An asset and liability guarantee clause, a contradictory inventory statement and a recovery schedule can secure the operation, but they do not replace economic analysis and support by competent professionals.

Architect: starting an agency

An architect creates an agency with an associate. It invests little in heavy capital assets, but must finance software, licenses, subcontractors, studies, a workspace and several months of lag between production and payment of fees. Its main risk is not only the cost of creation: it is the cash lag created by markets and installments.

The project can combine contributions, bank loan, loan of honor or financing of certain equipment. Partners must, however, keep a separate budget for their personal protection and specify the remuneration policy, the expenses incurred on behalf of the agency and how to finance a period without a new contract.

They prepare a legible file: presentation of missions, order book, billing assumptions, schedule of receipts, fixed expenses, debts and low scenario. A funder must be able to understand how the project pays off debt, but also how the agency is responding if a market is delayed or lost.

Identify the financing available

The project leader is most often required to supplement his personal resources with external financing to make the creation/take-over operation a reality.

The means to obtain the necessary funds financing your entrepreneurial project are numerous.

The following categories can be distinguished among all financing solutions:

  • thepersonal contribution and start-up capital (equity financing): personal savings, the Arce, donations from relatives, honor loans, etc.
  • the search for investors to strengthen your equity
  • of borrowings that allow for the completion of a financing plan

Bpifrance création provides an overview of financing for company creators according to this grid. It helps to link every expense to the right resource and to understand why a contribution or a loan of honor can facilitate access to bank credit.

It is important to check territorial and professional arrangements : regional aid, zoning, support networks, health financing or Order schemes.

The Bank of Territories proposes loans specifically dedicated to the creation of a study for the exercise of a regulated legal profession : notary, commissioner of justice, judicial administrator, judicial agent.

It also offers a funding dedicated to homes and health centers in priority areas defined by the ARS. The offer may concern projects carried out by private businesses and finance building, acquisition or renovation. Criteria, rate and duration must be checked at the time of assembly.

Bpifrance création provides a simulator to identify the main financial solutions that can be mobilized for the realization of a company creation or takeover project. This tool can also be used as a preparation tool before a banking appointment, provided that it incorporates the specific rules of the regulated profession and the professional's personal expenses.

Mobilizing aid and support

There are several thousand supports to help entrepreneurs start their business.

THEaid for recovery and company creation (Arce) is a financial aid paid by France Travail (formerly Job center) to company creators or buyers. It consists in receiving part of his unemployment benefits in the form of capital and under conditions.

Managing your business is not just about producing accounts or sending documents to an accounting firm. Regular information on income, expenses, collection times, cash flow and risks is required. The aim is to be able to decide in time : recruit, invest, adjust its rates, renegotiate a charge, postpone an expense or prepare a transmission.

Build a management dashboard and manage its activity

The management dashboard is a tool for monitoring and controlling the performance of a company. It offers a summary view of the company's situation according to previously chosen indicators. It thus makes it possible to anticipate the difficulties and to highlight the corrective actions to be implemented.

It exists different types of management dashboards, depending on the elements that it is desired to control. For example, the budget management dashboard tracks the implementation of the company budget, while the operational management dashboard tracks the progress of internal actions defined by the company.

For more information, you can consult our factsheet on thedevelopment of a management dashboard.

A number of professional can help in its implementation:

  • Chartered accountants
  • Consular support networks: French Chambers of commerce and industry (CCI), Chambers of Crafts and Crafts (CMA), etc.
  • Support networks (BGE, Adie, France Active, etc.)
  • Authorized Management Associations (AGMs) for the liberal professions

Please note

Since 1er In January 2025, membership in an approved management organization (AMO) no longer allows the benefit of the tax reduction previously granted for accounting and membership fees.

The liberal professional is not obligated hire a public accountant. He can decide to manage his own accounting internally. But using a chartered accountant presents a a number of advantages, for example: compliance with laws and regulations, compliance with deadlines, centralization of financial information.

Some of the partner accountants Business Story network offer specific support mechanisms, including personalized appointments, advice on management and business development, as well as the identification of financing solutions:

Please note

The appointment of an external auditor becomes mandatory when the company exceeds certain thresholds (turnover, balance sheet total, headcount). Its role is to certify accounts and ensure their reliability.

Manage your activity in practice

In summary, to manage its activity, it is essential to:

  • Know the key figures: invoiced and received revenue, fixed and variable expenses, margin, profit or loss, cash and short-term liabilities.
  • Build a management calendar: billing, reminders, returns, payroll, vendor payments, tax deadlines, and monthly reviews.
  • Follow the activity at the right level: by mission, patient, site, employee, product family or type of service depending on the profession.
  • Formalize billing rules: quotes, advance payments, mandatory information, payment terms, reminders, credit notes and retention of supporting documents.
  • Protect data and access: backups, permissions, privacy, archiving, business continuity, and incident procedure.
  • Distinguish roles: which is the responsibility of the professional, employee, employee, accountant or IT provider.
  • Test decisions before committing them: recruitment, investment, relocation, purchase of equipment, tariff changes or association.
  • Revise indicators: a dashboard must evolve with the size of the firm, the business model and the obligations of the profession.

In practice, the monitoring of the indicators depends on the activity and the objectives pursued:

Répondez aux questions successives et les réponses s’afficheront automatiquement

Pharmacist: securing stocks and cash flow

A pharmacist runs a pharmacy whose turnover is growing, but whose cash flow remains tight. Purchases of medicines and parapharmacy products are important, some references are turning slowly and the payment deadlines of the paying agencies make it difficult to read the bank balance. It must distinguish between growth in turnover and the real ability to finance purchases, wages and investments.

Its dashboard can remain short: margin by large product families, level and age of inventories, receivables, payables, cash flow at thirty and ninety days, payroll and tax deadlines. These indicators must be reconciled with the obligations specific to the pharmacy : traceability, product retention, service continuity and data security.

Together with her accountant, she sets a monthly review rate and alert thresholds. If inventories exceed an agreed level or cash flows shift, the bank takes action before the problem is revealed. Management thus becomes a prevention tool and not a simple annual observation.

Surveyor-expert: monitoring the profitability of its missions

An expert surveyor works on several operations of different durations: demarcation, co-ownership, topography and support of real estate projects. Quotations are accepted on different dates, time spent is misinformed and some invoices are issued several months after the start of the mission. The activity seems sustained, but the professional does not know which missions actually finance the firm.

It sets up a follow-up by business: budget sold, planned time, time consumed, external expenses, billable progress, invoices issued and receipts. This organization allows him to correct a quote, request a deposit, relaunch a customer or renegotiate the scope before the margin disappears.

The approach must remain compatible with the rules of the profession and the confidentiality of files. Software access, backups, plan retention and traceability of validations are part of the management, as is profitability. An indicator is only useful if it triggers an identifiable action.

Masseur-physiotherapist: organization of the team and the agenda

A massage therapist develops a practice with several collaborators. Appointments are numerous, but cancelations, replacements and administrative tasks take time. The professional plans to hire a secretary and invest in appointment-making software, without knowing if the firm can bear these costs in the off-peak months.

It begins by separating fixed and variable expenses, measuring the rate of appointments honored, tracking unpaid payments and estimating the activity threshold necessary to finance the position and the software. It also defines who processes invoices, rejections, patient requests and health data incidents.

This allows to preserve the time of care, to clarify the responsibilities and to maintain the continuity of the practice in case of absence. Piloting therefore combines financial data, organizational rules and professional requirements.

In these situations, the trader does not need a disproportionate management system. Above all, it must define a few indicators, choose a frequency of review, assign responsibilities and keep a record of decisions. Accounting describes the past; piloting helps choose the next

Mastering accounting rules

The accounting requirements depend on the legal form of the company. Thus, a micro-entrepreneur (« self-entrepreneur ») has the possibility to hold a lean accounting. Instead, a business will have several accounting obligations to comply with: keeping accounts, keeping mandatory records, drawing up annual accounts.

Consult our file to learn more about all the accounting rules a company.

In such cases, the company must invoice and retain accounting records.

Invoicing your benefits

As a professional, it is necessary to respect the rules of billing, in particular by including in invoices the mandatory particulars. Invoices must also comply with rules regarding their format and their transmission.

Since 1er September 2026, micro-entrepreneurs established in France and subject to TVA must be able to receive electronic invoices.

From 1er September 2027 :

  • micro-companies will have the obligation toissue electronic invoices
  • some data will also have to be transmitted to the administration in electronic form (e-reporting).

Please note

To know the applicable obligations and the steps to be taken, consult the sheet « How to comply with the obligation of electronic invoicing? ».

Maintain accounting records

A company shall retain any document issued or received in the course of its business for a minimum period of time. This period varies according to the nature of the documents and the legal obligations. During this period, the administration may carry out checks.

This simulator allows to know the retention times of the main documents:
